Terms of Service
Effective Date: December 1, 2025
Entity: Condo Check Inc., a Delaware corporation ("Condo Check," "we," "our," or "us")
1. Acceptance of Terms
By accessing or using the Condo Check platform ("Service"), you agree to these Terms of Service ("Terms"). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Description of Service
Condo Check provides software tools that assist lenders and other financial institutions in reviewing condominium project documentation and summarizing relevant information based on publicly available guidelines (e.g., Fannie Mae and Freddie Mac). Condo Check does not make underwriting decisions or provide legal, financial, or compliance advice. All determinations of project eligibility remain solely the client's responsibility.
3. User Responsibilities
You agree to:
- Use the Service only for lawful business purposes.
- Upload or input only documents and data that you have lawful rights to use and share.
- Ensure that no uploaded materials contain non-public borrower information or personally identifiable consumer data.
- Maintain the confidentiality of your login credentials and account access.
4. Intellectual Property
All intellectual property rights in the Service, software, algorithms, and outputs remain the property of Condo Check or its licensors. You may use outputs solely for your internal business purposes. You may not copy, modify, reverse engineer, resell, or sublicense the Service.
5. Disclaimers
The Service and its outputs are provided "as is" and "as available." Condo Check makes no warranties -- express or implied -- regarding accuracy, completeness, or suitability for any purpose. Condo Check is not liable for any lending or underwriting decisions made in reliance on the Service.
6. Limitation of Liability
To the fullest extent permitted by law, Condo Check shall not be liable for any indirect, consequential, incidental, special, or punitive damages, or for any loss of profits or data, arising out of or related to use of the Service. Condo Check's total aggregate liability for any claim shall not exceed the fees paid by you for the Service during the twelve (12) months preceding the claim.
7. Indemnification
You agree to indemnify and hold Condo Check harmless from any claims, damages, or expenses (including attorneys' fees) arising out of your misuse of the Service or breach of these Terms.
8. Termination
We may suspend or terminate access at any time for violation of these Terms or to protect the security or integrity of the Service. Upon termination, all rights granted to you shall cease.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association in Wilmington, Delaware, and you waive any right to participate in a class action.
10. Updates to Terms
We may update these Terms periodically. The "Effective Date" above will reflect the latest version. Continued use of the Service after changes constitutes acceptance.
